Luxembourg-domiciled SEB Fund 5 – SEB Flexible Bond Fund SEK will merge with Sweden-domiciled SEB Obligationsfond Flexibel SEK

We plan to merge the Luxembourg-domiciled SEB Fund 5 – SEB Flexible Bond Fund SEK, the merging fund, with Sweden-domiciled SEB Obligationsfond Flexibel SEK, the receiving fund, as of 13 February 2023.

The merging sub-fund and the receiving fund have very similar investment objectives and policies, and they are managed by the same investment team within SEB Investment Management AB. We wish to merge the two funds to simplify SEB Investment Management AB’s selection of funds offered and to make fund management more efficient.

This is a merger by absorption whereby the merging sub-fund's holdings, including its assets and liabilities, will be transferred to the receiving fund and SEB Flexible Bond Fund SEK will cease to exist.

How you as an investor in the merging sub-fund are affected

As an investor in the merging sub-fund SEB Fund 5 – SEB Flexible Bond Fund SEK, you are not required to act, but you should be familiar with the merger. The merger does not have any foreseeable impact on your investment. The investment objective and strategy in the receiving fund remains unchanged. Ongoing costs in the receiving fund are 0.05% lower than the ongoing costs in the merging sub-fund. The merger will not lead to dilution effects in SEB Obligationsfond Flexibel SEK. SEB Investment Management AB will bear any costs related to legal, advisory, and administration that arise in relation to the merger. 

As a unitholder in SEB Fund 5 – SEB Flexible Bond Fund SEK, it is important for you to understand how the merger affects you. Please read the attachments carefully, including the Key Investor Information Documentation of SEB Obligationsfond Flexibel SEK provided as a pdf. Your investment will be automatically converted to SEB Obligationsfond Flexibel SEK unless you choose to redeem your units before the merger.  

The merger has been approved by CSSF (Commission de Surveillance du Secteur Financier), the financial supervisory authority in Luxembourg. SEB Fund 5 – SEB Flexible Bond Fund SEK is domiciled in Luxembourg and SEB Obligationsfond Flexibel SEK is domiciled in Sweden, which makes this a cross border merger. Timeline  

3 February 2023: By the merging sub-fund's cut-off time, the merging sub-fund closes for redemptions. 

10 February 2023: By the receiving fund’s cut-off time, investors in the receiving fund who wish to redeem their units free of charge must do so by this date.  

13 February 2023: The merger takes effect, and the merging sub-fund ceases to exist.
